Terms of Service

Agreement

Proof Rail is a brand of House of Borel LLC, a Wyoming limited liability company ("Proof Rail", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Proof Rail website, API, and verification services (together, the "Service"). By creating an account, using the Service, or submitting a request to Proof Rail, you agree to these Terms. If you use the Service for an organisation, you confirm you are authorised to accept these Terms on its behalf, and "you" means that organisation.

These Terms incorporate our Privacy Policy, the acceptable-use rules below, and, where applicable, our Data Processing Agreement. Where we have signed a separate written agreement with you, that agreement governs to the extent it conflicts with these Terms.

Eligibility

You must be able to form a binding contract and may use the Service only for lawful business purposes. The Service is intended for organisations and the professionals acting for them, not for consumers, and is not directed to children.

The service

Proof Rail verifies claims against defined evidence standards and issues records that third parties can independently authenticate. We provide a free sandbox environment for testing and a live environment for records that are public and verifiable. The Service is offered on an early-access basis, and we may add, change, or discontinue features; we will give reasonable notice of a material adverse change to a paid feature you rely on.

Accounts, API keys and security

You must provide accurate account information and keep it current. You are responsible for your account, your API keys, and all activity that occurs under them. Keep your credentials and keys confidential, do not share them, and notify us promptly at legal@proofrail.me if you suspect any unauthorised use. We are not liable for loss arising from your failure to safeguard your credentials.

Acceptable use

You agree not to, and not to allow anyone to: use the Service unlawfully or to infringe the rights of others; submit information or evidence you do not have the right to submit; use a record to deceive, defraud, impersonate, or misrepresent who or what has been verified; present a sandbox or test record as a live verification; interfere with, probe, or circumvent the Service's security, rate limits, billing, or usage controls; reverse engineer, scrape, or resell the Service except as expressly permitted; or introduce malware or otherwise disrupt the Service or other users.

We may investigate suspected violations and may suspend or revoke records, keys, or access to protect the integrity of the Service.

Your responsibilities

You warrant that the information and evidence you submit are accurate, complete, and yours to submit, and that you have a lawful basis to share any personal data they contain. False, misleading, or unauthorised material may result in records being revoked and access removed. You are responsible for your use of records and for meeting any legal or regulatory obligations that apply to you.

What a record means

A verification record states what was checked, against which source, under which evidence standard, and on what date. It is not financial, legal, investment, tax, or compliance advice; a guarantee of future conduct; or an endorsement.

Anyone relying on a record should confirm the evidence standard shown and perform any additional diligence their obligations require.

Third-party sources and connectors

Some verifications rely on third-party sources and connectors, for example, exchange APIs, public registries, DNS, and blockchain networks. Where you connect a source, you authorise Proof Rail to access it on a read-only basis for verification and confirm you are permitted to grant that access. We do not control third-party sources and do not warrant their availability, accuracy, or continuity; a source outage or change may delay, pause, or prevent a verification.

Accuracy and monitoring

Records reflect information available at the time of checking. Continuously Monitored records are re-checked on a recurring basis. We may update, suspend, or revoke a record if the underlying facts change, evidence no longer supports it, or it was issued in breach of these Terms.

Fees and payment

Paid plans are billed monthly in advance through our payment processor, together with usage above the included allowance and any reviewed-verification and monitoring fees, at the rates shown on our products and pricing pages. Fees are exclusive of taxes, which are added where applicable and are your responsibility (other than taxes on our income).

Charges are non-refundable except where required by law. If a payment fails, we may suspend paid features until it is resolved. We will give notice of a price change before it applies to your next billing period.

Sandbox usage is free and is never billed. A free trial, where offered, converts to a paid plan only if you choose one; otherwise paid features stop when the trial ends.

Term, suspension and termination

Paid plans run month to month unless agreed otherwise in writing. You may cancel at any time, effective at the end of the current billing period.

We may suspend or end access for breach of these Terms, non-payment, or use that risks the integrity of the Service or other users, where practical, with notice and an opportunity to cure.

When access ends, records already issued remain independently verifiable unless they are revoked; revoking a record is a separate action you can request. Provisions that by their nature should survive termination do so.

Confidentiality

Each party may receive non-public information of the other that is marked or reasonably understood to be confidential. Each party will use the other's confidential information only to exercise its rights and meet its obligations under these Terms, protect it with reasonable care, and not disclose it except to those who need it and are bound by similar obligations, or as required by law. This does not apply to information that is public, independently developed, or rightfully received from another source. Verification records you choose to make public are not confidential.

Intellectual property

The Proof Rail name, logo, site, API, software, and verification format remain our property and that of our licensors. You retain ownership of the information and evidence you submit ("Your Content") and grant us a worldwide, non-exclusive licence to host, process, and use it to provide the Service, verify claims, and maintain resulting records. If you send us feedback, you grant us a perpetual, royalty-free licence to use it without restriction.

Data processing

Our Privacy Policy explains how we handle personal data. For personal data you submit so that we can verify a claim, we act as a processor on your behalf and process it only to provide the Service. You are the controller and are responsible for having a lawful basis to share it with us.

We use vetted sub-processors to operate the service and apply safeguards appropriate to the data. Our Data Processing Agreement, including the current sub-processor list, is available at proofrail.me/dpa; business customers who require a countersigned copy can request one at legal@proofrail.me.

Compliance, sanctions and export

You will comply with all laws that apply to your use of the Service. Because Proof Rail is operated by a United States company, you represent that you and your users are not subject to United States or other applicable sanctions, are not located in an embargoed territory, and will not use the Service where prohibited by export-control or sanctions laws. You will not use the Service to facilitate activity that is unlawful in any applicable jurisdiction.

Proof Rail is verification infrastructure. It is not a bank, money-services business, virtual-asset service provider, broker, custodian, or regulated financial or advisory service, and nothing in the Service is financial, legal, investment, tax, or compliance advice.

Disclaimers

The Service is provided "as is" and "as available" to the maximum extent permitted by law, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. A record carries only the assurance of the evidence standard shown on it.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, and Proof Rail is not liable for reliance on a record beyond what its stated evidence standard covers. To the maximum extent permitted by law, Proof Rail's total liability for all claims relating to the Service is limited to the fees you paid for the Service in the three months before the claim arose. Some jurisdictions do not allow certain exclusions or limitations, so some of these may not apply to you.

Indemnification

You will defend, indemnify, and hold harmless Proof Rail and House of Borel LLC from third-party claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your breach of these Terms, or your violation of law or the rights of a third party. We will notify you of the claim, let you control its defence with our reasonable participation, and cooperate; you may not settle a claim in a way that imposes obligations on us without our consent.

Force majeure

Neither party is responsible for a failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, war, civil unrest, labour disputes, failures of third-party networks or providers, and changes in law.

Changes to these terms

We may update these Terms as the Service develops. If a change is material, we will give reasonable notice, for example, by email or through the Service. Your continued use after a change takes effect means you accept the updated Terms. The date above reflects the latest version.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit the parties and their permitted successors.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Before bringing a formal claim, the parties will try in good faith to resolve the dispute by negotiation for 30 days after written notice. Any dispute not resolved will be subject to the exclusive jurisdiction of the courts located in Wyoming, unless applicable law grants you a non-waivable right to bring it elsewhere. To the extent permitted by law, each party waives any right to a jury trial.

General

These Terms, together with the documents they incorporate, are the entire agreement between you and Proof Rail about the Service and supersede any prior understanding on the subject. If any provision is held unenforceable, the rest remains in effect and that provision is enforced to the greatest extent permitted. Our failure to enforce a provision is not a waiver. There are no third-party beneficiaries. Provisions that by their nature should survive termination, including fees owed, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and these general terms, survive.
